The Nonprofit Association of Oregon and the Center for Nonprofit Stewardship have partnered to bring you this important joint training opportunity. Join us for a robust day of interactive training where we will explore your core oversight responsibilities and help improve your boardroom governance, financial oversight and leadership skills.

9:00 – 9:15 a.m. Welcome & Introductions

9:15 – 10:30 a.m. Attorney General’s Guidance on Board Service – Rights and Responsibilities of Board Members, Presented by Kirk Harvey

If you haven’t attended this workshop, it’s a must! Board members have serious responsibilities and legal obligations, but many do not fully understand them. This workshop is structured for new board member orientation and broken down to understandable terms. It’s also an excellent refresher for experienced directors. You will explore the legal duties, rights, responsibilities and best practices of volunteer board members in governing charitable and other nonprofit organizations with time for questions.

10:45 – 12:00 p.m. Understanding Financial Information, Presented by Kathy DeYoung

Have you ever wondered what financial information you should be receiving at board meetings? In this workshop, you will learn what fiscal information you should be receiving in the treasurer’s report, how to interpret it and spot “red flags”, what questions you should be asking, and how to determine if your organization is in a secure place.

12:00 – 1:00 p.m. Lunch

1:00 – 3:00 p.m. Supporting Board Performance, Presented by Cliff Jones

Supporting Board Performance – in this section we will focus on developing our skills and capacity for maximizing board productivity performance in teams and as individuals. We will explore establishing agreed upon expectations, board training, feedback, motivation, teamwork, conflict resolution, problem solving barriers, working effectively across differences and adapting to the changing environment.

3:00 – 3:15 p.m. Break

3:15 – 4:00 p.m. Organizing Board Committees, Presented by Kirk Harvey

In this interactive workshop we will examine the role of board committees and the responsibilities of committee members. We will discuss the various types and composition of committees, their authority to act and their relationship with the board of directors. Then, we will wrap up with tips on how to organize effective committees. Topics will include:

  • What’s the law say about committees
  • Types of Committees
  • Composition of Committees
  • Power / Authority of Committees
  • Committee Job Descriptions
  • Board Oversight
  • Effective Committees – Tips for Success
  • Committee work plans

About the Presenters

Cliff Jones is a human rights activist with over 30 years’ experience in social services, community education, and human rights advocacy. He has experience as a frontline staff, supervisor, project manager, and executive director. He is co-founder of Tools for Diversity, a comprehensive curriculum led by a multi-cultural team that addresses problems caused by discrimination and prejudice and supports building culturally competent organizations. Cliff has served on the Boards of McKenzie River Gathering Foundation, Funding Exchange Foundation, Oregon Minority AIDS Coalition, Multnomah Legal Service Workers Union, and Peer Counseling Community. He has been a trainer for the Black Leadership and Community Development Institute and is a recipient of Nordstrom’s Cultural Diversity Community Service Award.

Kathy DeYoung

Kathy DeYoung is a Certified Public Accountant and the founder and Executive Director of the Center for Nonprofit Stewardship. She is a co-author of “A Directors and Officers Workbook” and author of “Nonprofit Internal Audit Workbook.” Kathy has worked with nonprofit organizations for over 30 years and is a frequent trainer on nonprofit financial issues.

Kirk Harvey

Kirk Harvey served as Chief Investigator for the Oregon Department of Justice Charitable Activities Section for over 20 years where he supervised investigations of nonprofit organizations and individuals. He is a Certified Fraud Examiner with a Bachelors Degree in Accounting from Oregon State University and a Masters Degree in Administration of Nonprofit Organizations from Portland State University.
